Investment agreement in Bertel S.p.A.
Tesmec S.p.A.: the Group continues its strategy of expansion of services to improve efficiency and management of existing networks by signing an investment agreement in Bertel S.p.A.
Grassobbio (Bergamo), 13 January 2012 – Tesmec S.p.A. (MTA, STAR: TES), among the main world producers in the stringing equipment segment of aerial high voltage electric power lines and in the high powered crawler trencher segment for the linear excavation with a set section, announces that it has signed today an agreement for investment in the company Bertel S.p.A..
Bertel, based in Piacenza, offers innovative technological solutions and is a technology start-up active in a market with a high technology which is the efficiency of high-voltage power networks.
The company has a very high expertise in continuous development through the use of highly specialized young technicians that leads to a very advanced technological specialization.
In execution of the investment agreement, Tesmec SpA entered the capital of Bertel through a capital increase reserved for nominal Euro 200,000.00 through which has come to hold 40% of the share capital of Bertel.
The investment agreement also provides for the support of the Bertel development plan and there is an option in favor of Tesmec for a further 20% of share capital of Bertel, this option could be exercised in the period from January 1, 2014 March 31, 2016.
With this operation, Tesmec Group increases its market presence into a new market segment, which is renewal and efficiency of existing electricity networks, in addition to the traditional one in which the Group is, the construction and maintenance of networks electrical High voltage.
The activity of Bertel is therefore highly complementary and has a synergy in the development of the Group's Tesmec which sees market renewal and efficiency of existing networks an important growth opportunity in the near future.
The transaction completes the acquisition plan in the field of Electrical Networks Group started with the purchase of the business I-Light S.r.l..
The acquisition of the share’s Bertel is part of the Group’s medium to long term strategy which wants to achieve a complete range of services for the modernization of the electricity grids of both medium and low voltage solutions , in low voltage with high know-how offered by I-Light and in high voltage through the solutions offered by Bertel.
